Welcome to Ringspark AI. These Terms of Service ("Terms") govern your use of our website (www.ringsparkai.com) and our AI-powered phone answering and appointment booking services ("Services"). By subscribing to or using our Services, you agree to these Terms.

1. Description of Services

Ringspark AI provides a done-for-you AI phone answering service for small businesses ("Clients"). Our AI agent answers incoming calls, collects caller information, books appointments into the Client's calendar, and sends confirmation messages, according to the plan the Client has subscribed to (Starter, Growth, or Pro).

2. Subscription Plans & Payment

- Services are billed monthly on a subscription basis via Stripe.

- Plan features and pricing are described on our Pricing page and may be updated from time to time; changes will not retroactively affect an already-paid billing period.

- Clients may cancel at any time; cancellation will take effect at the end of the current billing period. We do not offer prorated refunds for partial months unless required by law.

- Failure to pay may result in suspension or termination of Services.

3. Client Responsibilities

Clients agree to:

- Provide accurate business information, service details, and availability for their AI agent setup

- Use the Services only for lawful business purposes

- Not use the Services to harass, mislead, or defraud callers

4. AI-Generated Interactions

Our AI phone agents are designed to sound natural and handle calls professionally, but they are automated systems and may occasionally misunderstand or mishandle a request. Ringspark AI does not guarantee that every call will be handled perfectly, and Clients remain responsible for confirming appointments and following up with customers as needed.

5. Call Recording

Calls may be recorded and/or transcribed for quality assurance and service improvement, as described in our Privacy Policy. Clients are responsible for ensuring their own compliance with any state-specific call recording consent laws applicable to their business.

6. Intellectual Property

All software, AI models, designs, and content used to deliver the Services remain the property of Ringspark AI LLC. Clients receive a limited, non-transferable license to use the Services for their business during their active subscription.

7. Limitation of Liability

To the fullest extent permitted by law, Ringspark AI LLC shall not be liable for any indirect, incidental, or consequential damages — including lost revenue or missed appointments — arising from use of, or inability to use, the Services. Our total liability for any claim shall not exceed the amount paid by the Client in the three (3) months preceding the claim.

8. Service Availability

We strive for high uptime but do not guarantee uninterrupted service. Scheduled maintenance or third-party platform outages (e.g., telephony or CRM providers) may occasionally affect availability.

9. Termination

We reserve the right to suspend or terminate Services for any Client who violates these Terms, engages in fraudulent activity, or fails to pay outstanding fees.

10. Changes to These Terms

We may revise these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.
